Terms of Service

1. Agreement to Terms

By accessing or using Nembl ("the Service"), operated by DevOpspolis LLC ("we", "us", "our"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

2. Description of Service

Nembl is a cloud-based platform for internal process automation, workflow orchestration, and cross-company (B2B) service delivery. The Service includes a web application, API access, AI-assisted features, and related documentation.

3. Accounts and Registration

To use the Service, you must be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher) and capable of entering into a binding contract. You must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must notify us immediately of any unauthorized use.

You may create an Individual account for personal use or a Company account for your organization. Company account administrators are responsible for managing users and permissions within their organization.

4. Subscription Plans and Billing

Nembl offers subscription plans (Starter, Growth, Business, and Enterprise) with different feature sets and usage limits. A free trial period may be offered for new accounts. Billing is handled through our payment processor. Subscription fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service's infrastructure or other users' use
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to transmit malware, spam, or other harmful content
  • Exceed your plan's usage limits through automated or abusive means
  • Use AI features to generate content that violates applicable laws or third-party rights

6. Your Data

You retain ownership of all data you submit to the Service ("Your Data"). You grant us a limited license to host, process, and display Your Data solely to provide the Service. We will not sell Your Data to third parties.

You are responsible for the content and accuracy of Your Data, including any data shared through B2B connections with other companies on the platform. For B2B features, you control which data is visible to partner companies through service policies and visibility settings.

7. AI-Powered Features

The Service includes AI-assisted features (chatbot, workflow agents, intake triage) powered by third-party AI models. AI outputs are provided as suggestions and should be reviewed before acting on them. We do not guarantee the accuracy, completeness, or appropriateness of AI-generated content. Your use of AI features is subject to your plan's usage limits.

8. B2B Service Delivery

The Service enables cross-company service delivery through the B2B Registry. When you publish services or connect with other companies, you are entering into direct arrangements with those companies. We facilitate the platform but are not a party to agreements between companies using the B2B features.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications to the Service. We will provide reasonable notice for planned downtime. The Service is provided "as is" without warranty of any kind.

10. Limitation of Liability

To the maximum extent permitted by law, DevOpspolis LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Termination

You may terminate your account at any time. We may suspend or terminate your access for violation of these terms or for any reason with reasonable notice. Upon termination, you may request export of Your Data for a period of 30 days.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the updated terms.

13. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict of law principles. Any disputes shall be resolved in the state and federal courts located in the State of Washington.
